Terms and Conditions of Service

Welcome to the Education Management System (EMS). These Terms and Conditions ("Terms," "Agreement") govern your access to and use of the EMS software-as-a-service platform, our website (https://ems.ad), and any associated modules or services (collectively, the "System").

By registering for an account, purchasing a subscription, or accessing the System, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an educational institution, school, or academy (the "Institution"), you represent that you have the authority to bind that Institution to this Agreement.

If you do not agree with these Terms, you may not use the System.


1. Definitions

  • "System" refers to the EMS cloud-based software, applications, portals, and related documentation.

  • "Institution" refers to the school, college, academy, or educational body that subscribes to EMS.

  • "Authorized User" refers to any individual granted access to the System by the Institution, including administrators, teachers, staff, students, and parents.

  • "Institution Data" refers to all electronic data, text, messages, or other materials submitted to the System by the Institution and its Authorized Users.


2. Provision of the System and License

  • Grant of License: Subject to the payment of applicable subscription fees and adherence to these Terms, EMS grants the Institution a limited, non-exclusive, non-transferable, and revocable license to access and use the System for its internal educational and administrative purposes.

  • System Updates: We continuously improve EMS. We reserve the right to update, modify, or remove features and functionalities of the System at any time. Significant changes that materially impact core functionalities will be communicated to Institution administrators in advance.


3. Account Registration and Responsibilities

  • Administrator Accounts: The Institution will designate one or more Administrative Users who will hold master access to the System. Administrators are responsible for configuring profile settings, assigning roles, and managing billing.

  • User Credentials: The Institution and its Authorized Users are responsible for maintaining the confidentiality of all login credentials. The Institution is strictly liable for all activities that occur under its accounts.

  • Unauthorized Access: You must notify EMS immediately at info.ems.ad@gmail.com if you suspect any unauthorized access, compromised passwords, or security breaches.


4. Acceptable Use Policy

The Institution and all Authorized Users agree NOT to:

  • Use the System for any unlawful, discriminatory, or fraudulent purpose.

  • Resell, sublicense, distribute, or time-share the System with any third party that is not an Authorized User.

  • Attempt to reverse-engineer, decompile, or hack the software architecture of EMS.

  • Upload or transmit viruses, malware, or any malicious code that could harm the System.

  • Use the System to send unsolicited promotional messages, spam, or abusive communications through the Chat or Announcement modules.

EMS reserves the right to suspend or terminate accounts that violate this Acceptable Use Policy without liability or refund.


5. Subscription Fees, Billing, and Payments

  • Fees: Use of the EMS platform is subject to the payment of subscription fees based on your selected plan (e.g., student tier limits, module access). All fees are quoted and payable in the agreed-upon currency.

  • Payment Terms: Subscription fees are billed in advance (monthly or annually). Invoices are due upon receipt unless otherwise specified in your service contract.

  • Late Payments: Failure to pay subscription fees may result in the suspension of access to the System. EMS will provide a grace period and multiple notices before suspending an active school account.

  • Taxes: Subscription fees are exclusive of all local, state, or national taxes. The Institution is responsible for paying any applicable taxes related to their use of the System.


6. Data Ownership and Privacy

  • Institution Data Ownership: The Institution retains all rights, title, and interest in and to all Institution Data. EMS claims no ownership over the student records, staff details, or financial data entered into the System.

  • Data Processing: EMS acts as a Data Processor. We process your data solely to provide the System functionality as described in our System Privacy Policy.

  • Data Protection: EMS implements enterprise-grade security measures to protect Institution Data. However, the Institution is responsible for securing the data they download, export, or print from the System (such as ID cards, certificates, and financial reports).


7. Service Availability and Maintenance

  • Uptime: We strive to maintain 99.9% availability of the EMS platform. However, the System relies on internet connectivity and third-party cloud infrastructure, and uninterrupted access cannot be absolutely guaranteed.

  • Scheduled Maintenance: To ensure peak performance, EMS will perform routine maintenance and updates. We will schedule significant maintenance during standard off-peak hours (e.g., weekends or late nights) and notify administrators in advance whenever possible.


8. Term, Cancellation, and Termination

  • Term: This Agreement begins on the date of account activation and continues until the subscription expires or is canceled.

  • Cancellation by Institution: The Institution may cancel their subscription at any time via the Administrator dashboard or by contacting our billing team. Cancellations take effect at the end of the current paid billing cycle. No prorated refunds will be issued for early cancellation.

  • Termination for Cause: EMS may terminate this Agreement immediately if the Institution materially breaches these Terms (e.g., non-payment, violation of the Acceptable Use Policy) and fails to cure the breach within 15 days of notice.

  • Data Export Upon Termination: Upon cancellation or termination, the Institution will have a 30-day grace period to export their Institution Data. After this period, EMS will permanently and securely delete the data from our servers.


9. Disclaimers and Limitations of Liability

  • "As-Is" Service: The System is provided on an "AS IS" and "AS AVAILABLE" basis. EMS makes no warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

  • Limitation of Liability: To the maximum extent permitted by law, EMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the System.

  • Liability Cap: In no event shall EMS's total aggregate liability to the Institution exceed the total amount paid by the Institution to EMS during the twelve (12) months immediately preceding the event giving rise to the claim.


10. Modifications to Terms

EMS reserves the right to update or modify these Terms at any time. If we make material changes, we will notify Institution administrators via email or a prominent notice on the System dashboard before the changes take effect. Continued use of the System after the effective date of the revised Terms constitutes your acceptance of the changes.
